Job Purpose:

Assist in the identification (origination and transaction screening), development (structuring and negotiation), implementation (approvals and financial closing) and monitoring (portfolio management and advisory) of private equity transactions, to contribute to ADB’s development objectives for the private sector and the overall goal of reducing poverty. Ensure the ongoing financial and structural soundness, development impact and alignment of the transactions to ADB’s overall mission, strategies and policies. Transactions will principally be in infrastructure, renewable energy, clean tech and environmental finance sectors. Work with broad policies and objectives, working directly with clients, with supervision for critical tasks.

Expected Outcomes

a. Project Management
- Assist in the identification of private equity transactions that are structurally and financially sound, aligned with ADB’s developmental goals for the private sector and congruent with ADB’s mission, strategies and policies.
- To this effect, cultivate and maintain productive relationships with project developers, companies, banks, bilateral and multilateral finance institutions, host governments, potential co-investors and co-lenders, fund managers, institutional investors and limited partners, and other sponsors and financiers.
- Assist with marketing and fund raising efforts including participation in road shows and establishing relationships with potential investors.
- Assist in deal sourcing, and initial analyses/screening of investment proposals.
- Assist in the structuring and execution of transactions by undertaking various activities, such as initial discussions with clients as well as potential co-investors in respect of confidentiality agreements, mandate letters, and due diligence information requests; coordinating the selection and hiring of consultants; participation in due diligence; conducting or overseeing financial analysis work such as financial modeling, valuation (including internal project risk rating and pricing models); providing technical input, structuring, stress testing and validation of the transaction; presentation and management of board papers and environmental and social reporting, assisting or leading in the negotiation of the financing documentation, ensuring smooth and timely closing, and other related activities.
- Assist in the robust monitoring and reporting of investments that have achieved financial close, by undertaking activities such as participating in the Board of investee companies or funds, monitoring clients’ reporting undertakings and other covenants, monitoring and analyzing financial results of investee, monitoring development impact, generating internal monitoring reports, actively participating in annual review meetings with the clients, recommending corrective actions as necessary, including possible restructuring, and others.

b. Economic, Sector and Thematic Work
- Draft, review and provide comments on project, policy and other papers related to private sector development and operations issues in various themes and sectors.

c. Knowledge Sharing
- Participate in and contribute to relevant internal and external training and conferences and other activities for advocacy, dissemination and knowledge building.
- Maintain and share knowledge of emerging best practices in area of expertise.
d. Strategy and Planning
- Participate in country teams and missions for planning and programming purposes with particular focus on private sector development and operations and for the identification of investment opportunities in assigned Developing Member Countries of ADB.
e. Staff supervision
  • Take the role of team leader and supervise the work of team members
  • Supervise the performance of reporting staff, providing clear direction and regular monitoring and feedback on performance
  • Ensure the on-going learning and development of reporting staff.

Educational Requirements:

  • Master's Degree, or equivalent in sciences, engineering, management and/or finance or related fields; University degree combined with specialized experience in similar organization/s, may be considered in lieu of a Master’s degree.

Relevant Experience And Other Requirements:

  • At least 8 years of relevant professional experience in investment banking, private equity, management consulting, or asset management, with exposure to the renewable energy, clean tech and environmental sectors
  • Experience in the private equity sector, including fundraising, deal origination, execution and monitoring
  • Ability to maintain productive relationships and negotiate with target companies, project developers, funds, institutional investors and limited partners
  • Good team player, self starter, with the ability to work under minimum supervision and maintain good relationships
  • Excellent oral and written communication skills in English
  • International experience working with development institutions
