Transformation Manager


FINCA International is one of the leading global networks of microfinance institutions, providing financial services to hundreds of thousands of clients in 21 country programs in Africa, Eurasia and Latin America. Currently FINCA Azerbaijan is looking for a Transformation Manager.


Goal: The Transformation Manager is responsible for the coordination, oversight and implementation of transformation of “FINCA Azerbaijan” LLNBCO into a licensed bank.

This position shall oversee the transitional phase during which “FINCA Azerbaijan” LLNBCO will change its operations from that of a credit-only institution to a full licensed by the Central Bank of Azerbaijan to perform banking activities.

Reports to: The transformation manager will report directly to the CEO of “FINCA Azerbaijan”.

Responsibilities:
  • In coordination with the management team to develop bank transformation plan;
  • Contemplate all steps of the establishment of the bank and transferring FINCA Azerbaijan’s assets and operations to the bank;
  • Discuss with management team to identify the specific expectations and needs;
  • Build the transformation team; distribute the responsibilities of each team member;
  • Determine the reporting order and supervise the team;
  • Coordinate and advise on preparation, collection and submitting of documents for the preliminary and final applications to Central Bank for a bank license;
  • Prepare the business plan, coordinate the activities for the preparation of the business plan and in coordination with the management identify strategic targets and financial prognosis;
  • In coordination with Legal department, prepare draft charter, shareholder meeting minutes and other necessary documentation;
  • Act as the contact point and maintain the communication with Central Bank through the process of transformation;
  • Timely fix any incompliance detected by Central Bank and resubmit;
  • Initiate and supervise the registration process with the state registry;
  • Oversight the formation and appointment of all governance bodies;
  • Ensure preparation all policies, procedures and regulation in accordance with the banking legislation;
  • In coordination with the management team and Legal Department draft or get drafted policies regulating specific bank activities, detailed internal procedures and regulations of departments and branches;
  • Use the best practices of local and foreign banks in preparation of policies and procedures;
  • Coordinate and advise on building corporate governance structure as per banking legislation requirements;
  • Initiate and supervise activities on developing banking products;
  • Conduct market researches, ensure the developed products are in line with the market demand;
  • Conduct trainings to staff on products;
  • Participate in and advise on staff selection, Identify and assist in selection and management of specialized consultants.
  • Coordinate with Central Bank the attestation of the qualified personnel. Assist them in attestation exam preparations;
  • Advise on implementation of the banking program for new products;
  • Report to the management on timely basis and coordinate activities with Legal department.

REQUIRED KNOWLEDGE AND SKILLS:
  • Proven track record in banking, including at senior and top management level.
  • Experience in setting up or merging banks is a strong plus.
  • Good relationship and ability to work with local authorities and Central Bank as required in terms of transformation into bank.
  • Strong organization skills, ability to work under high time pressure, high adaptability skills enabling to work with multi managers and partners, within changeable multi tasks environment.
  • Strong interpersonal and communication skills.
  • Strong verbal and written presentation skills.
  • Knowledge of English is a MUST;
  • Extensive experience in Project Management;
  • Advance knowledge of Russian (written and spoken) would be plus.
  • Readiness to travel throughout Azerbaijan.
